Terms of Service

1. Introduction

Welcome to Agogee, an AI-powered sales notes, coaching, and practice app. Agogee lets you record sales conversations, generate transcripts, notes, and action items, receive AI coaching, and practice through simulated roleplays. By accessing or using our mobile app, web platform, and services, you agree to follow these Terms. If you do not agree, please refrain from using the platform.

 

2. User Responsibilities

By using Agogee, you agree that:

• You will only use the app for lawful and respectful purposes.
• You are responsible for the accuracy of any information you provide.
• You will not misuse, harm, or interfere with the functionality or security of the app.
• You will comply with all laws applicable to your use of the app, including those governing the recording of conversations (see Section 5).

 

3. License to Use the App

We grant you a limited, non-exclusive, non-transferable license to use Agogee in connection with your own sales and business activities. You agree not to:

• Copy, share, sublicense, or alter any part of the app without written permission.
• Resell, redistribute, or provide the app as a service to third parties unless you have purchased an appropriate business or enterprise license, or received written authorization from us.
• Reverse-engineer, decompile, or attempt to access the source code or underlying systems.

 

4. Your Content and Ownership

You own the recordings you create with Agogee, along with the transcripts, notes, action items, and other outputs generated from them (“Your Content”).

By using Agogee, you grant us a limited, non-exclusive license to store, process, transcribe, and analyze Your Content solely to provide, maintain, and improve the service for you. We do not claim ownership of your conversations.

We do not currently use Your Content to train our AI models. If that ever changes, we will notify you in advance and give you a choice before doing so. We may use aggregated, de-identified data (that does not identify you or any individual in a recording) to improve our features. This section works together with our Privacy Policy, which governs how we handle your data.

 

5. Recording, Consent, and Compliance

Agogee’s recording features let you record live and in-person conversations. Because you control when, where, and who you record, compliance with recording laws is your responsibility. You acknowledge and agree that:

a. The app includes tools for recording live conversations;

b. Federal, state, and local laws — including wiretapping laws and one-party, two-party, and all-party consent requirements — govern the recording of conversations, and some prohibit recording without the consent of the individuals being recorded;

c. Recordings are initiated by you, not by Agogee. We are not present during your conversations and cannot see where you are, who else is present, or whether consent has been given, and are therefore unable to ensure that any recording is lawful;

d. It is your sole responsibility to know and comply with all applicable recording laws, and to obtain any and all consents required before recording any conversation;

e. You represent and warrant that you have obtained all rights, consents, and authorizations necessary for every conversation you record, upload, or process using Agogee, and that our processing of Your Content will not violate any law or infringe the rights of any third party;

f. You are solely responsible for Your Content, and Agogee assumes no responsibility or liability for the conversations you choose to record or how you obtain consent to record them.

We recommend obtaining clear consent from all parties before recording, regardless of the minimum your jurisdiction requires.

 

6. Acceptable Use and Fair Use

Agogee is provided for legitimate sales and business use. You agree that you will not:

• Use the recording features to record conversations for unlawful, harassing, fraudulent, or deceptive purposes;
• Record any conversation in violation of applicable law or without required consent;
• Share, sell, or transfer your account, credentials, subscription, or purchased capacity to any other person;
• Circumvent, disable, or artificially inflate your session-minute balance or recording limits, or use bots, scripts, or automated means to abuse the service;
• Upload content you do not have the right to upload, or that infringes the rights of others.

Fair-use limit on unlimited plans. Our recording, notes, and coaching subscription is offered on an “unlimited” basis subject to a fair-use limit of 100 hours of recording per billing cycle per account. This limit exists to keep the service reliable and to prevent abuse. If you reach the limit, recording will pause for the remainder of the current billing cycle and reset at the start of your next cycle; your existing recordings, notes, and coaching remain accessible. We may adjust the fair-use limit with advance notice, and we may throttle, suspend, or terminate accounts showing abnormal, abusive, or fraudulent usage.

Access to Agogee is intended for a single user per account unless you hold a business or enterprise license.

 

7. Privacy and Data

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your information, including your recordings. By using Agogee, you consent to the data practices described there.

 

8. AI Limitations and Disclaimer of Accuracy

Agogee uses AI to transcribe conversations and generate notes, action items, coaching, lessons, and feedback. While we strive for accuracy and relevance, AI-generated content — including transcripts and notes — may occasionally be incomplete, inaccurate, or misleading.

By using Agogee, you acknowledge that:

• Transcripts, notes, and summaries are automated and may contain errors, and should not be relied on as a verbatim or legal record without your own verification;
• Coaching and feedback are for practice and educational purposes and are not professional business, legal, or compliance advice;
• We do not guarantee any sales outcomes or performance improvements;
• You are responsible for reviewing, verifying, and applying what the app provides, especially in high-stakes sales situations.

 

9. Payment

Agogee offers two ways to pay, which may be used separately or together: a subscription for recording, notes, and coaching, and one-time session-minute purchases for roleplay practice.

a. Recording, Notes & Coaching Subscription

• What it covers: A recurring subscription that provides unlimited access to recording, transcription, notes, action items, and coaching features, subject to the fair-use limit described in Section 6 (currently 100 hours of recording per billing cycle).
• Billing: Subscriptions are billed in advance on a recurring basis (e.g., monthly or annually, as shown at purchase) and renew automatically until cancelled.
• Cancellation: You may cancel at any time through your app store account or app settings. Cancellation takes effect at the end of your current billing period, and you retain access until then. Fees already paid for the current period are non-refundable except where required by applicable law or app store policy.
• Payment Method: You must maintain a valid payment method. Failed payments may result in suspension or downgrade of access.

b. Session Minutes for Roleplay Practice

• What it covers: Roleplay practice features are measured in session minutes. Your available balance is shown in your account dashboard.
• Billing: Session minutes are purchased in bundles as a one-time payment. They do not auto-renew or replenish; you purchase more when you run out.
• Expiration: Purchased session minutes do not currently expire. We reserve the right to introduce expiration windows in the future and will provide advance notice before any such change takes effect.

c. Terms Applying to Both

• Price Changes: We may change pricing at any time and will notify you in advance. Continued use after a change indicates acceptance of the updated pricing.
• Refunds: All purchases are final and are generally non-refundable, except where required by applicable law or app store policy. This applies to subscriptions, one-time purchases, and in-app purchases.

 

10. Changes to the App or Terms

We may update the app’s features or these Terms over time. If changes are significant, we’ll make efforts to notify you. Continuing to use the app after updates means you accept the new terms.

 

11. Termination

We reserve the right to suspend or terminate your access at any time if you violate these Terms or misuse the platform. You may stop using Agogee at any time.

 

12. Limitation of Liability

We aim to provide a reliable, helpful experience, but we cannot guarantee the app will always be error-free or available.

To the fullest extent allowed by law, Agogee is not liable for any direct, indirect, incidental, or consequential damages arising from your use of the app, your recordings, your reliance on its content, or any failure to obtain required consent to record.

 

13. Indemnification

You agree to defend, indemnify, and hold harmless Agogee, its creators, partners, and team from any claims, damages, or liabilities arising out of:

• Your use or misuse of the app;
• Your recordings, or your failure to obtain any consent required to make them;
• Your violation of these Terms;
• Your infringement of third-party rights or applicable laws.

 

14. Intellectual Property Rights

All content and technology that make up Agogee — including text, graphics, lessons, animations, logos, audio, video, AI models, coaching frameworks, and software — is the property of Agogee or its licensors and is protected by intellectual property laws. This does not include Your Content, which you own as described in Section 4.

You are granted a limited license to use Agogee’s content in connection with your own sales and business use. You may not:

• Copy, modify, distribute, or sell any of Agogee’s content without written consent;
• Reverse-engineer or extract source code except where permitted by law.

Trademarks, logos, and service marks appearing in the app are owned by Agogee or relevant third parties. You may not use them without prior consent.

 

15. Governing Law

These Terms are governed by the laws of the State of California, United States. Any legal disputes will be resolved in courts located within that jurisdiction.
